Senior Legal Counsel

The Senior Legal Counsel is the primary legal operator supporting Zettabyte's commercial growth, corporate governance, and risk management.

What You’ll Do

  • Commercial contracting: draft, review, and negotiate customer and partner agreements, including software licensing, professional services, GPU operations, and hosting-related terms. Ensure contracts align with business intent and operational realities.
  • NDA and intake process: implement a clear NDA and contracting SOP, including templates, fallback positions, approval matrix, and turnaround SLAs. Train teams to reduce friction and rework.
  • Risk assessment and negotiation strategy: identify key risks (liability, IP, confidentiality, payment, termination, indemnities, SLAs, security). Propose pragmatic risk positions tied to deal size and strategic value.
  • IP and product legal support: support IP protection strategy, vendor development agreements, and software licensing model design. Coordinate trademark and domain protection as needed.
  • Data privacy and security terms: review and structure data processing obligations, security addenda, and customer requirements. Coordinate with technical owners to ensure commitments are feasible.
  • Corporate governance: support board and shareholder matters, presentations, cap table related documentation, and corporate housekeeping. Partner with Finance on financing transactions and investor diligence.
  • Employment and HR support: support HR on employment agreements, policies, disciplinary actions, and terminations. Ensure documentation quality and legal defensibility.
  • Vendor and procurement legal: negotiate key vendor agreements including IT services, facilities, data center related vendors, and consulting agreements. Ensure clear scopes, deliverables, and termination rights.
  • Compliance and regulatory: identify relevant compliance needs (sanctions, export considerations, procurement controls, anti-bribery). Coordinate with external counsel where specialized expertise is required.
  • Obligations management: implement a contract repository and obligations tracker (renewals, notice dates, SLAs, deliverables). Ensure the business executes what it signs.
  • Enablement: create playbooks, clause libraries, and training for sales, BD, and operations teams so they understand contract concepts and negotiation posture.

You’ll Thrive Here if You

  • 7+ years of relevant legal experience, including in-house counsel experience or strong commercial contracting background.
  • Strong experience drafting and negotiating technology and services agreements (MSA, SOW, NDA, licensing).
  • Ability to operate independently in a fast-growing company with limited existing legal infrastructure.
  • Excellent judgment and ability to balance legal risk with commercial outcomes.
  • Fluency in English and Mandarin for contract review and negotiation in cross-border contexts.
  • Strong organizational skills and process mindset. You can build legal workflows that scale.
  • High integrity, discretion, and commitment to protecting the company while enabling growth.

Bonus Qualifications

  • Experience in cloud infrastructure, data centers, semiconductors, GPU hardware, or enterprise software licensing.
  • Experience supporting venture financing, strategic investments, or corporate structuring.
  • Comfortable using AI tools for contract analysis, clause comparisons, and drafting acceleration (with strict confidentiality controls).
  • Experience with data privacy frameworks and security addenda in enterprise contracts.
  • Exposure to export controls and cross-border technology transactions.
